1. AGREEMENT TO TERMS
These Terms of Use (“Terms”) govern your access to and use of https://zeropoint7.studio (the “Site”), operated by zeropoint7 Studio (“we,” “us,” or “our”). “You” refers to the individual using the Site and, where applicable, the entity that individual is authorized to represent.
By using the Site, you agree to these Terms. If you do not agree, you must discontinue your use of the Site. You may use the Site only in compliance with applicable laws and these Terms.
Separate Agreements
Commissioned design services are governed by the applicable written project agreement. If these Terms conflict with that agreement concerning the services, deliverables, payment, confidentiality, or intellectual property rights covered by the agreement, the project agreement controls.
Purchases through the Site may also be subject to product licenses, refund policies, or other purchase terms that are clearly identified and made available before you complete your purchase.
Changes to These Terms
Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time and for any reason. We will alert you about any changes by updating the “Revised” date of these Terms of Use, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms of Use to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the Site after the date such revised Terms of Use are posted.
International Access and Local Compliance
The information provided on the Site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
The Site is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Site.
2. USER REPRESENTATIONS
By using the Site, you represent and agree that:
- You will use the Site for lawful purposes and comply with these Terms and applicable laws and regulations.
- Information you provide through inquiries, purchases, or other interactions with the Site will be accurate and complete in all material respects to the best of your knowledge at the time of submission. You will not knowingly provide false or misleading information or impersonate another person or entity.
- When making a purchase or entering into an agreement for our services, you have the legal capacity to enter into that transaction under applicable law.
- If you act on behalf of an entity, you have the authority to represent that entity and enter into the relevant transaction on its behalf.
- Any automated access to the Site will comply with the permissions and restrictions in these Terms, including those concerning search indexing, automated collection, and AI training.
Inaccurate Information and Violations
If you provide materially false or misleading information, or violate these Terms, we may request corrected information, restrict or suspend your access to the Site, or suspend or terminate any associated account, where applicable.
You may not use the Site to publish, submit, or transmit statements that constitute unlawful defamation against any person or entity. Nothing in these Terms restricts lawful reviews, complaints, opinions, or criticism.
Any action taken under this section does not eliminate our obligations concerning accepted orders, applicable refunds, or rights that cannot lawfully be excluded.
3. INTELLECTUAL PROPERTY RIGHTS
Ownership of Site Content
The text copy, photographs, graphics, illustrations, layouts, website designs, audio, video, software, source code, and other materials available on the Site (collectively, the “Content”), together with the trademarks, service marks, word marks, and logos displayed on the Site (collectively, the “Marks”), are owned by zeropoint7 Studio or their respective rights holders. These materials are protected by applicable copyright, trademark, and other intellectual property laws.
Client names, logos, trademarks, and other third-party materials remain the property of their respective owners. Their appearance on the Site does not grant you permission to use them.
Permitted Use and Restrictions
Subject to these Terms, you may access and view the Site and download or print portions of the Content for your personal reference or internal evaluation of our services. You must retain any copyright, trademark, or other proprietary notices included with those materials.
Except as permitted by applicable law, these Terms, an applicable product or third-party license, or prior written permission from the relevant rights holder, you may not copy, reproduce, modify, aggregate, republish, upload, publicly display, transmit, distribute, sell, license, or otherwise exploit the Content or Marks.
You may not claim authorship or ownership of work created by zeropoint7 Studio or another rights holder. We reserve all rights in our Content and Marks that are not expressly granted.
Automated Collection and AI Training
Except where applicable law permits use without authorization, you may not, without our prior written permission:
- Scrape, harvest, extract, download, or systematically collect Content or Marks for the purpose of developing, training, fine-tuning, or evaluating artificial intelligence or machine-learning models.
- Incorporate Content or Marks into datasets intended for those purposes, or sell, license, distribute, or otherwise supply such datasets to others.
- Upload or otherwise provide Content or Marks to an artificial intelligence service for those purposes, whether collection or submission is performed manually or through automated means.
These restrictions apply to Content and Marks to the extent we own or control the relevant rights. Third-party materials remain subject to the rights and permissions of their respective owners.
Search-engine crawling solely for indexing and displaying links, brief excerpts, or thumbnails directing users to the Site is permitted, subject to our published crawler instructions. This permission does not extend to model training or dataset creation.
Public availability of Content or Marks does not constitute permission for the restricted uses described above. We expressly reserve all rights under applicable law concerning those uses.
Commissioned Design Work
Ownership and permitted use of commissioned designs, deliverables, and working files are governed by the applicable written project copyright agreement. Displaying commissioned work on the Site does not alter the rights established by that agreement.
Ownership and permitted use of commissioned designs, deliverables, and working files are governed by the applicable written project agreement. Displaying commissioned work on the Site does not alter the rights established by that agreement.
Digital Products and Templates
Unless a product-specific license expressly provides otherwise, purchasing a digital product grants you a limited, non-exclusive, non-transferable license to use it for your own business purposes. Ownership of the underlying design and other intellectual property remains with zeropoint7 Studio or the applicable third-party rights holder.
Customization, use for client projects, and sharing of editable files are permitted only to the extent expressly authorized by the applicable product license or our prior written permission.
You may not resell, sublicense, redistribute, share, or make the product or its editable files available to others except as expressly permitted by that license. You may not claim the underlying design as your original work.
Copyright and attribution notices included in the supplied files or documentation must be retained as required by the applicable license.
Third-Party Assets and Licenses
Photographs, fonts, graphics, software, and other third-party assets included in or referenced by a product are subject to their respective licenses. The applicable license and any restrictions on use will be identified in the product description or accompanying documentation.
You are responsible for complying with the license conditions applicable to your use. A product purchase grants rights to third-party assets only to the extent those rights are expressly included in the applicable license.
By purchasing any of our products you agree to the following terms:
All designs are copyrighted by zeropoint7 Studio. zeropoint7 Studio owns the property rights of all designs, graphics, Adobe Illustrator, Adobe Photoshop, and/or Affinity Designer file included in the design. As such, every digital product includes a design credit for this copyright in the attached document.
You may not resell, redistribute or use any product in any way other than for your personal business use. You may not claim any of our designs as your original work.
All photographs and images used in the templates are governed under the Creative Commons License. If you choose to use the images included in the templates, you are responsible for complying with the Creative Commons License.
- By completing a purchase on our site, you acknowledge and agree that we may contact you via email or other communication methods to invite you to review your order and share your experience with our products and services. These communications are intended to improve customer satisfaction and help other customers make informed decisions.
Opt-Out Option
If you prefer not to receive review request emails, you may opt out at any time by clicking the unsubscribe link included in our emails or by contacting us at hello@zeropoint7.studio. Opting out will not affect transactional emails related to your order, such as purchase confirmations, shipping updates, or support communications.
4. SHOP TERMS
Prices, Availability, and Product Changes
We may change prices, update product descriptions, modify products, or discontinue products offered through the Site. Unless otherwise stated, these changes apply to future purchases and do not change the price or agreed specifications of orders we have already accepted.
If a product becomes unavailable and we cannot fulfill an existing order, we will notify you and promptly refund the amounts paid for the unfulfilled portion of the order, including any associated taxes and shipping charges. We will not substitute a materially different product without your agreement.
Pricing and changes to commissioned design services are governed by the applicable written project agreement.
Product Images and Color Accuracy
We make reasonable efforts to represent our products accurately. Colors may appear differently depending on your screen, device settings, lighting, materials, and production methods. We cannot guarantee an exact match between colors displayed on your device and the finished product.
Minor color differences attributable to these factors do not, by themselves, qualify for a refund or replacement, except where required by applicable law. This provision does not exclude remedies for defective, incorrect, or materially misrepresented products.
We do not provide monitor calibration or device display support.
Manufacturing Variations
Embroidered, screen-printed, and other manufactured products may have minor variations in color, texture, placement, stitching, or finish due to the materials and production processes used.
Minor variations that are consistent with the product description and do not materially affect the product’s quality, function, or overall appearance are considered normal manufacturing variations. These variations do not, by themselves, qualify for a refund or replacement, except where required by applicable law.
Defective, damaged, incorrect, or materially misdescribed products are addressed under our Refund Policy and applicable law.
Coupons and Promotional Offers
Unless an offer expressly states otherwise:
- Coupon codes are non-transferable, have no cash redemption value, and cannot be combined with other discounts or promotional offers.
- A valid code must be entered and successfully applied during checkout. The resulting discount will be shown before you complete your purchase.
- Discounts cannot be applied retroactively to completed purchases.
- Offers apply only to eligible products and purchases and remain subject to their stated conditions and expiration dates.
- Lost, deleted, or expired codes will not be replaced or extended.
Subject to the stated offer terms and applicable law, we may modify or discontinue promotional offers for future purchases. This will not alter discounts already applied to orders we have accepted.
Review Requests and Email Preferences
Where permitted by applicable law, we may email you after a purchase to request an honest review of your order or experience. Providing a review is voluntary and highly appreciated.
You may opt out of review-request emails by using the unsubscribe link included in those emails or by contacting hello@zeropoint7.studio.
Opting out of review requests will not prevent us from sending necessary order-related communications, including purchase confirmations, shipping updates, and responses to support requests.
5. REFUND POLICY
Digital Products
Except as provided below or required by applicable law, digital product sales are final. We do not offer refunds or exchanges for changes of mind, accidental purchases, or incompatibility with software or devices that do not meet requirements clearly disclosed before purchase.
If you do not receive your download, receive the wrong product, or encounter a corrupt file or a material defect that prevents the product from functioning as described, contact hello@zeropoint7.studio with your order details and a description of the problem.
We will review the issue and, where appropriate, restore access, supply the correct files, or provide a corrected or replacement product. If we cannot resolve a qualifying problem within a reasonable time, we will provide an appropriate refund. This process does not limit any remedy available to you under applicable law.
Lost Files and Replacement Downloads
You are responsible for downloading and securely backing up your purchased files.
If you lose your files, we will make reasonable efforts to provide replacement copies after verifying your purchase. Replacement downloads are subject to availability. We cannot guarantee replacement files if a product has been discontinued or the files are no longer retained.
Loss of files after successful delivery does not, by itself, qualify for a refund, except where required by applicable law.
Physical Products
Our physical merchandise is printed or embroidered on demand. Except as provided below or required by applicable law, sales are final, and we do not accept returns or exchanges for changes of mind or an incorrect size, color, or option selected by the customer where the supplied product matches the order and its description.
If your order arrives damaged, defective, materially different from its description, or contains an incorrect item, contact hello@zeropoint7.studio promptly after discovering the issue. Include your order details, a description of the problem, and photographs where reasonably practicable.
We will assess the issue and arrange a replacement, refund, or other remedy appropriate to the circumstances and required by applicable law. Where a return is necessary because of a confirmed defect or an error on our part, we will provide instructions and cover reasonable return shipping costs.
Minor color differences and normal manufacturing variations described in Section 3 do not, by themselves, qualify for a refund or replacement.
Shipping Delays and Missing Orders
Estimated production, dispatch, and delivery times will be identified in the product listing or during checkout before purchase.
If we cannot ship within the stated shipment period, we will notify you and provide the delay, cancellation, and refund options required by applicable law. If we cannot fulfill your order, we will cancel the affected portion and promptly refund all associated amounts paid, including applicable taxes and shipping charges.
If an order has shipped but has not arrived within the estimated delivery period, contact hello@zeropoint7.studio. We will investigate and arrange an appropriate resolution, including a replacement or refund where warranted or required by law.
Refund Processing and Statutory Rights
Refunds will be issued to the original payment method where possible. The time taken for funds to appear in your account depends on your payment provider, subject to any applicable legal deadlines.
Nothing in this policy excludes or limits cancellation rights, statutory guarantees, or other consumer rights that cannot lawfully be excluded.
Commissioned Design Services
Payments, cancellations, and refunds for commissioned design services are governed by the applicable written project agreement.
6. PROHIBITED ACTIVITIES
You may use the Site to learn about our work, inquire about our services, make purchases, and engage in other activities permitted by these Terms. You are expressly prohibited from misusing the Site, its Content, or its functionality.
When accessing or using the Site, you agree not to:
- Unlawful Use. Use the Site for any unlawful purpose or in violation of applicable laws or regulations.
- Fraud and Impersonation. Defraud or deliberately mislead us or others; impersonate another person or entity; misrepresent your authority to act on another’s behalf; or attempt to obtain passwords, payment details, or other sensitive information through deception.
- Unauthorized Accounts. Access another person’s account without permission, create accounts using false identities, or sell or transfer an account without our authorization, where account functionality is available.
- Security Interference. Attempt to gain unauthorized access to the Site, its administration systems, accounts, servers, or connected networks; bypass access restrictions; or disable or interfere with security features.
- Disruption and Malicious Material. Introduce viruses, malicious code, spyware, or other harmful material; interfere with the Site’s operation; or impose an unreasonable burden on its systems through excessive requests, repeated submissions, or other disruptive activity.
- Harassment and Privacy Violations. Use the Site or information obtained from it to threaten, harass, stalk, or abuse another person, including our personnel and service providers, or to unlawfully collect, disclose, or use another person’s personal information.
- Unlawful Defamation. Use the Site to publish, submit, or transmit statements that constitute unlawful defamation against any person or entity.
- Abuse of Support Services. Knowingly submit false reports, fraudulent complaints, or deceptive support requests, or deliberately obstruct our handling of legitimate inquiries. This restriction does not prohibit good-faith complaints or reports.
- Spam and Unauthorized Advertising. Use forms, comments, accounts, or other Site functionality to distribute spam, unsolicited advertising, or unauthorized offers of goods or services.
- Unauthorized Data Collection. Harvest contact details, account information, or other data for unsolicited communications, or systematically extract Content to create a collection, database, directory, or competing content repository without authorization, except as expressly permitted by these Terms or applicable law.
- Restricted Automation and AI Uses. Use bots, scripts, scrapers, or other automated tools in violation of these Terms, or collect, supply, or use Content or Marks contrary to the “Automated Collection and AI Training” provisions in the Intellectual Property Rights section. Automated access expressly permitted by those provisions remains permitted.
- Intellectual Property Misuse. Copy, modify, distribute, sell, or otherwise exploit Content or Marks beyond the permissions granted by these Terms, the relevant rights holder, or applicable law. You must not falsely claim authorship or ownership or remove or alter proprietary notices except where permitted by the applicable license or law.
- Unauthorized Software Use. Copy, adapt, decompile, disassemble, or reverse engineer software made available through the Site except to the extent permitted by applicable law, the relevant software license, or the rights holder’s authorization.
- Misleading Framing and Reproduction. Frame, mirror, or reproduce the Site in a manner that misrepresents its source, implies an unauthorized affiliation or endorsement, or circumvents access restrictions. Ordinary hyperlinks to publicly accessible pages are permitted, provided they do not falsely imply our endorsement or affiliation.
Nothing in these Terms restricts lawful reviews, complaints, opinions, criticism, or other legally protected activity. Permissions expressly granted by applicable third-party licenses remain unaffected.
7. USER GENERATED CONTRIBUTIONS
Scope and Public Visibility
Where the Site provides functionality for public comments, reviews, or other user-submitted content, you may submit text, images, or other materials for public display. This section also applies to testimonials or other materials you expressly submit for publication on the Site. These materials are collectively referred to as “Contributions.”
Contributions published on the Site may be accessible to other visitors and indexed by search engines. You should not submit confidential information or information you are not authorized to make public.
Private Inquiries and Project Materials
Private contact-form submissions, order information, support requests, project briefs, reference materials, and other private correspondence are excluded from Contributions. Their submission does not authorize public display or transfer ownership of those materials to us.
Our handling of private submissions is governed by our Privacy Policy and any applicable project or confidentiality agreement. Any permission to publish material from private correspondence must be established separately.
Your Rights and Responsibilities
When submitting Contributions, you represent and agree that:
- Ownership and Permission. You own the material or have the rights and permissions necessary to submit it and authorize the uses expressly permitted by these Terms.
- Third-Party Rights. Your submission and its permitted use do not infringe another person’s copyright, trademark, privacy, publicity, confidentiality, or other legal rights. You have obtained any consent legally required for the use of another person’s name, likeness, or personal information.
- Accuracy and Authenticity. Statements of fact are accurate in all material respects to the best of your knowledge. Opinions reflect your genuine views. Reviews and testimonials reflect your actual experience with the relevant products or services, and you disclose any material connection or incentive where required by law.
- Lawful and Appropriate Content. Your Contributions do not contain unlawful defamatory statements, threats, harassment, unlawful incitement to violence, sexually explicit material, or any other illegal content.
- Abusive Content. Your Contributions do not contain discriminatory abuse directed at a person or group based on race, religion, nationality, sex, sexual orientation, gender identity, disability, or another protected characteristic.
- Spam and Harmful Material. Your Contributions do not contain unauthorized advertising, spam, fraudulent solicitations, malicious code, or unauthorized tracking mechanisms.
- Compliance with These Terms. Your Contributions comply with the Prohibited Activities section and other applicable provisions of these Terms.
Ownership and Moderation
You retain ownership of your Contributions. Any permission you grant us to use them is addressed in the Contribution License section.
Subject to applicable law, we may decline to publish, restrict, or remove Contributions that violate these Terms, infringe another person’s rights, contain confidential or private information, or are unrelated to the subject of the relevant submission feature.
Violations may result in removal of the affected Contribution or restrictions on access under these Terms, subject to applicable law.
8. CONTRIBUTION LICENSE
Ownership and Scope
You retain ownership of your Contributions and any intellectual property rights you hold in them.
This section applies only to Contributions as defined in Section 7. Private inquiries, project materials, order information, support requests, and other excluded correspondence are not subject to this license.
Permission to Publish and Promote
By submitting a Contribution for public display as described in Section 7, you grant zeropoint7 Studio a non-exclusive, worldwide, royalty-free license to host, store, reproduce, publish, display, perform, distribute, transmit, and otherwise use that Contribution to operate the Site and to advertise, promote, document, and publicize our studio, work, products, and services.
These permissions apply across media and formats now known or later developed, including websites, portfolios, case studies, social media, paid advertisements, email campaigns, proposals, presentations, printed materials, press releases, editorial features, award submissions, and publication entries.
“Non-exclusive” means you remain free to use your Contribution and authorize others to use it. “Royalty-free” means we do not owe a licensing fee for the authorized uses, unless separately agreed in writing.
To the extent you own or are authorized to license the relevant rights, this permission includes using your name, professional title, business name, trademarks, logos, photograph, likeness, voice, and other identifying material that you supply as part of a Contribution for public display. Their use must relate to the Contribution or the work, products, or services it concerns.
We may authorize hosting providers, agencies, contractors, printers, publishers, advertising platforms, and other service providers to exercise these permissions on our behalf or as necessary to publish and distribute the authorized materials. They receive no independent right to exploit your Contribution for unrelated purposes.
No separate notice, approval, or compensation is required for uses expressly authorized by this section, subject to the editing safeguards, duration and removal provisions below, any applicable separate written agreement, and applicable law.
This license does not authorize standalone resale of Contributions or their use for AI or machine-learning model training.
Editing and Moderation
We may format, resize, crop, excerpt, translate, adapt, and combine Contributions with other materials for the authorized purposes. We may also make reasonable spelling, accessibility, and length adjustments.
These changes must preserve the Contribution’s meaning and accurately represent your views and experience. Any excerpt must fairly represent the original Contribution. Substantive revisions to the statements in a testimonial require your approval before publication.
Our ability to decline, restrict, or remove Contributions is governed by Section 7 and applicable law. This license does not require us to publish a Contribution.
Duration and Removal
This license continues while your Contribution remains published or in use under these Terms.
9. THIRD-PARTY WEBSITE AND CONTENT
External Websites and Materials
The Site may contain links to independently operated websites (“Third-Party Websites”) and materials originating from others, including images, videos, articles, software, and embedded content (“Third-Party Content”).
We do not control independently operated Third-Party Websites and cannot guarantee their continued availability, accuracy, security, or privacy practices. We do not undertake to continuously monitor their content or changes to their terms and policies.
A link to or inclusion of Third-Party Content does not, by itself, imply our endorsement, approval, sponsorship, or affiliation. Any express recommendation or description we provide remains subject to applicable law.
Third-Party Terms and Privacy Practices
Your use of Third-Party Websites, services, and materials may be subject to their own terms, privacy policies, and license conditions. Review those conditions before providing personal information, making a purchase, downloading software, or otherwise interacting with the relevant third party.
These Terms govern your use of our Site. The relevant third party’s terms govern your use of its independently operated website or service, subject to applicable law.
Third-Party Content remains subject to the rights of its respective owners. Its appearance on the Site does not grant permission to reuse it beyond rights expressly provided by these Terms, the applicable license, the rights holder, or applicable law.
Purchases and Service Providers
Where you purchase directly from an independent third-party seller identified as the seller, that transaction is between you and that seller. Its terms govern fulfillment, support, cancellations, and refunds, subject to applicable law.
Where zeropoint7 Studio is the seller, our use of third-party payment processors, production partners, or fulfillment providers does not remove our obligations under the Shop Terms, Refund Policy, or applicable law.
Limits of Responsibility
To the extent permitted by applicable law, we are not responsible for the independent acts or omissions of third-party website operators or sellers, or for losses attributable solely to their websites, materials, or transactions.
10. SITE MANAGEMENT
We reserve the right to manage, maintain, and protect the Site, its users, and our business. Subject to applicable law and these Terms, we may:
- Monitor and Investigate. Monitor Site activity, review Contributions, and investigate suspected violations of these Terms, security incidents, fraud, or other misuse.
- Manage Content and Resources. Review, decline, restrict, disable, or remove Contributions and other submitted materials that we reasonably believe violate these Terms, infringe another person’s rights, expose confidential or private information, or compromise the Site’s security or operation. We may also limit file sizes, submission frequency, storage, or other resource use to prevent excessive demands on our systems.
- Restrict Access. Limit, suspend, or block access to the Site or particular features, including through account restrictions, IP blocking, rate limits, or other technical measures, where reasonably necessary to address suspected misuse, protect users or systems, or comply with legal requirements.
- Maintain the Site. Perform maintenance, install updates, adjust functionality, and take other measures reasonably necessary to support the Site’s operation, security, and availability.
- Enforce Our Rights. Seek available legal remedies, preserve relevant records, report suspected unlawful activity to appropriate authorities, and respond to valid legal requests as permitted or required by law.
We may take these actions without advance notice where reasonably necessary to address security risks, suspected misuse, ongoing harm, or legal requirements. Any notice required by applicable law or another provision of these Terms will still be provided.
Content moderation and use of Contributions remain subject to Sections 7 and 8. Any monitoring or processing of personal information will be conducted in accordance with our Privacy Policy and applicable law.
We do not undertake to continuously monitor all Site activity or review every Contribution before publication. This does not limit any obligation imposed by applicable law.
11. PRIVACY POLICY
Collection and Use of Personal Information
Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information in connection with the Site and our services. It also describes applicable privacy rights, available choices, and how to contact us about privacy matters.
We will handle personal information in accordance with our Privacy Policy and applicable law.
International Processing
Personal information collected through the Site may be stored or processed in the United States, including through our service providers. Applicable data-protection laws may differ from those in your location.
Nothing in these Terms excludes or limits privacy rights or protections that cannot lawfully be excluded.
Privacy Contact
For questions about our privacy practices or to submit a privacy-related request, contact privacy@zeropoint7.studio.
12. COPYRIGHT INFRINGEMENTS
Reporting Suspected Infringement
We respect the intellectual property rights of others. If you believe material available on or through the Site infringes a copyright you own or are authorized to enforce, please contact hello@zeropoint7.studio with the subject line “Copyright Complaint.”
To help us identify and assess the issue, please include:
- Your name and contact information, including an email address where we can reach you.
- Identification of the copyrighted work you believe has been infringed.
- Identification of the material you believe is infringing, including its specific URL or sufficient information for us to locate it.
- An explanation of the alleged infringement and your relationship to the copyright owner.
- A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or applicable law.
- A statement that the information you provide is accurate and that you are the copyright owner or are authorized to act on the owner’s behalf.
Review and Response
We will review complaints promptly and may request information reasonably necessary to assess them. Where appropriate or required by law, we may remove or restrict access to the identified material and notify the person who supplied it.
We may share relevant complaint information with the contributor, rights holder, service provider, or legal adviser where reasonably necessary to investigate or resolve the matter, or as required by law. Personal information will be handled in accordance with our Privacy Policy and applicable law.
Removal or restriction of material does not, by itself, constitute an admission of infringement. Any applicable notice, counter-notice, or restoration procedures will be handled in accordance with law.
Accuracy of Complaints
Complaints should account for applicable permissions, licenses, and legal exceptions.
Knowingly making a material misrepresentation in a notice submitted under the Digital Millennium Copyright Act may result in liability for damages, costs, and attorneys’ fees under applicable law.
13. TERM AND TERMINATION
Duration
These Terms apply while you access or use the Site. Ending your use of the Site does not eliminate obligations or liabilities that arose before that use ended.
Suspension and Termination
Subject to applicable law and these Terms, we may restrict, suspend, or terminate your access to the Site or particular features for any lawful reason, including:
- Actual or reasonably suspected violations of these Terms.
- Fraud, unauthorized access, security threats, or other misuse.
- Conduct that infringes another person’s rights or threatens the safety of users, personnel, or service providers.
- Legal requirements or the discontinuation of the Site or a particular feature.
These measures may include suspending or closing an account, blocking IP addresses, or applying other access restrictions.
We may act immediately and without advance notice where reasonably necessary to address suspected misuse, security risks, ongoing harm, or legal requirements. We will provide any notice required by applicable law or another provision of these Terms.
Circumvention of Restrictions
While a restriction remains in effect, you must not evade it by creating another account, using another person’s account or identity, or arranging access through another person or entity, unless we authorize that access in writing.
Effect on Purchases, Agreements, and Content
Suspension or termination of Site access does not, by itself, cancel an accepted order, revoke a purchased product license, or terminate a separate project agreement. Those matters remain governed by the applicable purchase terms, product license, written agreement, and law.
We remain responsible for any fulfillment, refund, or other obligations that continue to apply.
Removal or continued use of Contributions remains subject to Sections 7 and 8. Handling and retention of personal information remain subject to our Privacy Policy and applicable law.
Continuing Provisions and Enforcement
Provisions intended by their nature to continue after Site access ends remain effective within their stated scope and duration, subject to applicable law. These include applicable provisions concerning intellectual property, accrued payment obligations, limitations of liability, and dispute resolution.
We may seek available civil or injunctive remedies and report suspected unlawful activity to appropriate authorities.
Nothing in this section authorizes restrictions that violate applicable law or limits lawful reviews, complaints, criticism, or rights that cannot lawfully be excluded.
14. MODIFICATIONS AND INTERRUPTIONS
Changes to the Site
We may update, modify, replace, remove, suspend, or discontinue any part of the Site, including its content, features, and functionality. This includes, but is not limited to, correcting typographical errors, inaccuracies, or omissions in product descriptions, prices, availability, and other information. We may make these changes without advance notice, except where notice is required by applicable law, these Terms, or a separate written agreement.
We do not undertake to continuously review or update every item of Site content. This does not limit any obligation to correct information or provide updates required by applicable law or an express commitment we have made.
Changes to prices and products, including corrections affecting existing orders, remain subject to the Shop Terms, any applicable written agreement, and applicable law. Changes to these Terms are governed by the Agreement to Terms section.
Availability and Interruptions
We do not guarantee uninterrupted, error-free, or continuous access to the Site. Access may be delayed, restricted, or unavailable because of maintenance, updates, technical failures, security incidents, service-provider outages, or other circumstances.
Unless expressly agreed in writing, we do not guarantee a particular level of availability, maintenance schedule, or restoration time.
Existing Purchases and Agreements
Changes, interruptions, or discontinuation of the Site do not, by themselves, eliminate our obligations concerning accepted orders, applicable refunds, purchased product licenses, or separate written agreements.
Any commitment to provide product access, support, corrections, updates, or other services remains governed by the applicable purchase terms, product description, license, written agreement, and law.
Responsibility for Interruptions
Our responsibility for losses arising from Site changes or interruptions is subject to the Disclaimer and Limitations of Liability sections and applicable law.
Nothing in this section excludes liability or limits rights that cannot lawfully be excluded or limited.
15. GOVERNING LAW
These Terms and disputes arising out of or relating to these Terms or your use of the Site are governed by the laws of the State of Alabama and applicable federal laws of the United States, without applying conflict-of-law rules that would require the application of another jurisdiction’s laws.
This choice of law does not deprive you of mandatory consumer protections or other rights that apply to you under applicable law and cannot lawfully be waived by agreement.
Where a separate written agreement governs commissioned services or another transaction, any governing-law provision in that agreement controls for matters covered by that agreement.
16. DISPUTE RESOLUTION
Informal Negotiations
To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use (each a “Dispute” and collectively, the “Disputes”) brought by either you or us (individually, a “Party” and collectively, the “Parties”), the Parties agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.
Binding Arbitration
If the Parties are unable to resolve a Dispute through informal negotiations, the Dispute (except those Disputes expressly excluded below) will be finally and exclusively resolved through binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) and, where appropriate, the AAA’s Supplementary Procedures for Consumer-Related Disputes (“AAA Consumer Rules”), both of which are available at the AAA website: www.adr.org. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either Party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in Montgomery County, Alabama. Except as otherwise provided herein, the Parties may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.
If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in Montgomery County, Alabama, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non-conveniens with respect to venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act (UCITA) is excluded from these Terms of Use.
In no event shall any Dispute brought by either Party related in any way to the Site be commenced more than one (1) years after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable, and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
Restrictions
The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. To the full extent permitted by law, (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class action procedures; and (c) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.
Exceptions to Informal Negotiations and Arbitration
The Parties agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (a) any Disputes seeking to enforce or protect, or concerning the validity of, any of the intellectual property rights of a Party; (b) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) any claim for injunctive relief. If this provision is found to be illegal or unenforceable, then neither Party will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the Parties agree to submit to the personal jurisdiction of that court.
